The Merger Between Sakura Capital Co., Ltd. and
SB Investment Co., Ltd.

 Sakura Capital Co., Ltd. (Nobuo Iwata, President) and SB Investment Co., Ltd. (Michihiro Matsuda, President) have concluded an agreement to merge on April 1, 2001, occasioned by the merger on the same date of their respective parent companies, The Sakura Bank, Limited (Akishige Okada, President) and The Sumitomo Bank, Limited (Yoshifumi Nishikawa, President) to form Sumitomo Mitsui Banking Corporation (Yoshifumi Nishikawa, President).

The merger will take place after obtaining the approval of the regulatory authorities.

Integration of Sumitomo Mitsui Banking Corporation subsidiaries and affiliates is being planned, to create an organization that will allow the provision of higher value-added products and services to the group's customers.

Purpose of the Merger

The merger of the two companies, which both engage in the venture capital business, is intended to strengthen the organization for providing funds through equity investment to companies planning a public offering of shares. Another purpose is to boost administrative efficiency.

As a partner of growing companies, the new company intends not only to aggressively provide equity investment to such growing companies, but also to provide them with a wide array of information that will help them improve their performance and corporate value.
